ZAYORA – Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the website zayora.ca and any related mobile or web applications (collectively, the “Site”) operated by ZAYORA INC. (“ZAYORA,” “we,” “us,” or “our”). By visiting the Site, purchasing a product, or engaging with any feature we provide (together, the “Services”), you agree to be bound by these Terms. If you do not accept every provision below, please refrain from using the Services.

1. Eligibility & Account Security

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to make a purchase.

  • You are responsible for keeping your account credentials confidential and for all activities that occur under your login. Notify us immediately at support@zayora.ca if you suspect unauthorized use.

2. Products, Pricing & Availability

  • All prices are listed in CAD dollars by default (or USD when you switch currency) and are subject to change without notice.

  • We reserve the right to limit, refuse, or cancel orders at our sole discretion—including those we believe may be placed by resellers.

  • Colours and textures displayed online may vary from actual items due to screen settings; we do not warrant perfect accuracy of images.

3. Order Process & Payment

  1. Checkout — By submitting an order you make a binding offer to purchase the items in your cart.

  2. Confirmation — You will receive an email acknowledging we have received your order; this is not final acceptance.

  3. Acceptance / Shipping — A second email with a tracking number constitutes acceptance of your order and the formation of the sales contract.

  4. Payment — We accept the payment methods shown at checkout. Charges appear on your statement as “ZAYORA INC.”.

4. Shipping, Returns & Refunds

Shipping times, costs, and return procedures are detailed in our Shipping Policy and Return & Refund Policy, which form part of these Terms by reference.

5. Intellectual Property

  • All content on the Site—including text, graphics, logos, images, videos, and code—is the exclusive property of ZAYORA or its licensors and is protected by Canadian, U.S., and international copyright and trademark laws.

  • You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

6. User Content

If you submit reviews, photos, or other materials (“User Content”) you grant ZAYORA a world-wide, royalty-free, perpetual licence to use, display, reproduce, and adapt that content in any media. You confirm that (i) you own or control all rights in the User Content and (ii) your submission does not infringe any third-party rights.

7. Third-Party Tools & Links

We may provide you access to third-party tools and links over which we have no control. We supply such tools “as-is” and “as-available” without warranties. Your use is entirely at your own risk; review the third party’s terms.

8. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or to solicit others to perform illegal acts.

  • Upload or transmit viruses, malware, or any code of a destructive nature.

  • Violate or infringe our intellectual-property or privacy rights or those of others.

  • Harvest or collect personal data of other users without consent.

9. Disclaimer of Warranties

The Services are provided “as is” and “as available,” without any representation or warranty—express or implied—including fitness for a particular purpose and non-infringement. We do not guarantee that the Site will be uninterrupted, secure, or error-free.

10. Limitation of Liability

To the fullest extent permitted by law, ZAYORA shall not be liable for any indirect, incidental, punitive, or consequential damages arising out of or related to your use of the Services, even if we have been advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the amount you paid us for the product giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless ZAYORA, its directors, employees, and affiliates from any claim or demand (including reasonable attorneys’ fees) arising out of your breach of these Terms or violation of any law or third-party rights.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice, for conduct that we believe violates these Terms or is otherwise harmful to us or third parties. Sections 5–12 will survive termination.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law provisions. Any dispute shall be brought exclusively before the competent courts of Ottawa, Ontario.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after we post any changes constitutes acceptance of the revised Terms.
